  Conversion of Chestnut Hill Ventures LLC ("CHV") Loan and Extension of time
              limit on Graham Ferguson Lacey ("GFL") Subscription

Further to the announcement made by the Company on 26 March 2007 regarding the
revised terms of the CHV Loan and warrants, application has today been made for
the admission of 3,000,000,000 ordinary shares to trading on AIM. These shares
have been issued to CHV pursuant to the agreed conversion of #900,000 of the CHV
loan. Dealings in the new shares are expected to commence on 1 June 2007. On
admission, CHV will be interested in 11.97% of the voting share capital of the
Company.

As also announced on 26 March 2007, GFL agreed to subscribe for 3,000,000,000
ordinary shares for #900,000.  The Company and GFL have agreed that the above
subscription will occur on or before 18 June 2007
