             March Networks Corporation ("March" or the "Company")


                          Directors/PDMR shareholdings


The Company was notified on 13 September 2006 that, on the same day, Wesley
Clover Corporation, the company's principal shareholder controlled by Sir
Terence Matthews, Chairman of the Company, disposed of 1,000,000 common shares
("Common Shares") in the Company at a price of $19.50 per Common Share. As a
result of this disposal Mr. Matthews' remaining beneficial interest is 3,150,329
Common Shares, which represents 18.94% of the current issued share capital.

As per the Canadian regulations this transaction was pre-announced on 5
September and provides Wesley Clover with the funds required for investment in
other portfolio companies.
