                        Result of EGM and Board changes



The Board of MKM Group plc ("MKM" or "the Company") announces that, at the
Extraordinary General Meeting held today, all the resolutions proposed were duly
passed.



Open Offer

Further to the announcement made on 31 August 2005, the Board of MKM announces
that WH Ireland Limited has procured subscribers for 1,866,096 new ordinary
shares of 0.5p each ("Ordinary Shares") which were not taken up by qualifying
shareholders in the Open Offer which closed on 30 August.  As a consequence, a
total of #197,727 was raised in the Open Offer in addition to the #1,180,409
(before expenses) raised by the issue of 23,608,182 new Ordinary Shares pursuant
to the placing ("the Placing").



As a result of the Placing announced on 8 August 2005 and the subscription for a
total of 3,954,545 new Ordinary Shares in the Open Offer, the Company now has
40,744,545 Ordinary Shares in issue.



Board changes

The Board also announces that the Chairman, Clive Garston, has resigned from the
Board with immediate effect.  Clive has been Chairman since 1 June 2004 and the
Board would like to thank him for his valuable leadership and advice in the
period since MKM was admitted to AIM in June 2004.  A new Chairman will be
appointed in due course.  With effect from the admission date of the new
Ordinary Shares, which is anticipated to be on Monday 5 September, David Mond
will become a non-executive Director.
