                    RESIGNATION OF NON-EXECUTIVE DIRECTORS                    


Following the acquisition of Bernard Matthews PLC by Bernard Matthews Holdings
PLC, the two non-executive Directors of Bernard Matthews PLC have resigned as
Directors in accordance with their stated intention in the Offer document
dated 1st November 2000.

The resignation of Mr David S McCall and Mr David A Newton is effective 21st
December 2000.
