           Leisure & Gaming plc ("Leisure & Gaming" or the "Company")

                            Allotment of new shares

Under the English Harbour Acquisition Agreements between the Company and the
English Harbour Sellers, the English Harbour Sellers were entitled to deferred
consideration of up to $2.75 million dependent, inter alia, upon the EBITDA of
English Harbour for the year ending 31 December 2005. This deferred
consideration underpinned the trailing acquisition multiple of 4.85x EBITDA for
2005. As the English Harbour business achieved an EBITDA for the year ending 31
December 2005 in excess of $3.4 million, this deferred consideration is now
payable in full and will be satisfied by the payment of $1 million in cash and
by the issue of 798,950 ordinary shares in the Company.

The new shares will rank pari passu in all respects with the ordinary shares
already in issue and application has been made for the new shares to be admitted
to trading on AIM.

Chief Executive, Alistair Assheton, commented:

"We are very pleased with the performance of the English Harbour business and
the other businesses acquired during 2005. We continue to implement the synergy
and integration benefits from these acquisitions and continue to review further
complementary acquisition targets that meet our established criteria, as we seek
to build on the firm foundation established in 2005."
