Kidron Industrial Holdings Ltd. (formerly Technoplast Industries Ltd,
hereinafter, "Kidron Industrial Holdings"), hereby provides notice of the
following:


 1. Pursuant to the agreement of May 3, 2004, which provides for the
    regularization of the debts and obligations of Kidron Industrial Holdings
    towards the banks, and the addendum thereto dated July 27,2005, inter alia,
    Bank Leumi LeYisrael B.M. (hereinafter, the "Bank") provided Kidron
    Industrial Holdings with a foreign currency loan in the aggregate amount of
    US$2,611,337, for a ten-year repayment period of both principal amount and
    quarterly interest (hereinafter: the "Loan").

 2. December 14, 2006 was the date of repayment of a quarterly installment of the
    Loan, in the aggregate amount (principal and interest) of US$97,742.48.
    Kidron Industrial Holdings has not yet paid such quarterly installment.


 3. On February 14, 2007, Kidron Industrial Holdings received a letter from the
    Bank, which stated that, pursuant to the provisions of the agreement, the
    Bank has grounds to demand the repayment of the debts and obligations of
    Kidron Industrial Holdings, within 14 business days from the date of such
    letter.


 4. As of the date of this Immediate Report, Kidron Industrial Holdings estimates
    that it will be unable to fulfill its obligations towards the Bank pursuant
    to the agreement, and that it will be unable to immediately repay the debt.
