Jarvis plc was notified in correspondence dated 23 November 2005 by The Goldman
Sachs Group, Inc., under s.198-203 of the Companies Act 1985, that it had come
to their attention:

"that as at close of business on 21 November 2005, The Goldman Sachs Group, Inc
("GS Inc") of 85 Broad Street, New York, NY 10004, USA, was interested in a
total of 34,701,854 shares.

Of these 34,701,854 shares:

* The interest in 30,040,130 shares arose from the interest held by
Goldman, Sachs and Co. ("GS&Co."), a wholly-owned direct subsidiary of GS Inc,
acting as custodian for its customers. These shares are, or will be, registered
in the name of Goldman Sachs Securities (Nominees), Limited ("GSSN").

* The interest in 707,024 shares arose from a beneficial interest held by
Goldman Sachs International, a wholly-owned indirect subsidiary of GS Inc. These
shares are, or will be, registered at CREST in account CREPTEMP.

* The interest in 3,954,700 shares arose from a beneficial interest held
by GS&Co., a wholly-owned direct subsidiary of GS Inc. These shares are, or will
be, registered in the name of GSSN."

The holding of 34,701,854 shares represents 22.97% of the issued capital of the
Company.
