Notification of interests of directors and connected persons

On 26 September 2003, ISIS Group ESOP Trustee Limited ("ESOP") acquired 350,000
ordinary shares in the Company (the "Shares") at a price of 232 pence per Share
(the "Transaction"). The Shares represent approximately 0.23% of the Company's
issued ordinary share capital.

ESOP is the trustee of an employees' benefit trust (the "Trust") established in
1996. The principal purpose of the Trust is to acquire shares to satisfy future
demand under certain of the Company's share option schemes. The beneficiaries of
the Trust are employees of the Company, including executive directors.

Messrs Carter, Arthur, Back, Criticos, Paterson Brown and Talbut (the
"Executives") are all executive directors of the Company and therefore are all
potential beneficiaries of the Trust. Given this relationship, ESOP is a
connected person of each of the Executives.

Sir David Kinloch and Mr Inglis, both independent non-executive directors of the
Company, are the two directors of ESOP. Neither is a potential beneficiary of
the Trust.

Given the relationships detailed above, the Company has today received
notification from each of Sir David Kinloch, Howard Carter, Peter Arthur,
Kenneth Back, Nick Criticos, Kenneth Inglis, Ian Paterson Brown and Robert
Talbut that they have an interest in the Shares as a result of the Transaction.
