DIRECTOR SHAREHOLDING

Central China Goldfields plc (the "Company") has been notified of the purchase
on 17 March 2006 by Global Underwriting plc, a company where Johnny Hon is the
Founder and Chairman, of 125,000 ordinary shares at 6.25p per share. Following
these puchase the interests of Dr. Hon amount to 125,000 ordinary shares
representing 0.24% of the issued share capital.
Further to the announcement on 17 March 2005 regarding the appointment of Dr.
Johnny Hon as a non-executive director of the Company, information required in
order to comply with Schedule 2(g) of the AIM Rules is supplied below.

Save as disclosed below Dr. Hon has not :
(i) had any unspent convictions in relation to indictable offences;
(ii) had any bankruptcy order made against him or entered into any voluntary
arrangements;
(iii) been a director of a company which has been placed in receivership,
compulsory liquidation, administration, been subject to a voluntary arrangement
or any composition or arrangement with its creditors generally or any class of
its creditors, whilst he was a director of that company or within the 12 months
after he had ceased to be a director of that company;
(iv) been a partner in any partnership with has been placed in compulsory
liquidation, administration or been the subject of a partnership voluntary
arrangement, whilst he was a partner in that partnership or within the 12
months after he ceased to be a partner in that partnership;
(v) been the owner of any asset which has been placed in receivership or a
partner in any partnership which has been placed in receivership whilst he was
a partner in that partnership or within the 12 months after he ceased to be a
partner in that partnership;
(vi) been publicly criticised by any statutory or regulatory authority
(including recognised professional bodies); or
(vii) been disqualified by a court from acting as a director of any company or
from acting in the management or conduct of the affairs of a company.
Dr. Johnny Hon resigned as a director of Tennyson Financial Marketing Ltd on 9
June 1997 approximately four months before an extraordinary resolution was
passed by the company to put it into voluntary creditors' liquidation and
appoint a liquidator. The company was dissolved on 15 March 1999.
Dr. Johnny Hon resigned as a director of Global Sports (UK) Limited on 13
October 2004 approximately six months before the company accepted a proposal
for a creditors voluntary arrangement. He also resigned as a director of
Cambridge United Football Club Limited (``CUFCL'') on 13 April 2005
approximately two weeks before an administrator was appointed to CUFCL on 29
April 2005. The administrators were discharged on 20 July 2005 on the same day
CUFCL accepted a proposal for a creditors voluntary arrangement.
