Result of General Meeting

The Board of Evolve is pleased to announce that at the general meeting of the Company held earlier today the resolution to approve the sale of Rowan Dartington & Co. Limited by Astaire Group plc ("Astaire") (the "Sale"), a company in which Evolve has a 53.6 per cent. interest, was duly passed by shareholders of Evolve.

The Sale, which represents a fundamental change of business for both Astaire and Evolve under the AIM Rules for Companies, has been approved by shareholders of Astaire at a general meeting held earlier today. In addition the FSA have now granted controller consent to Rowan Dartington Holdings Limited and its controlling shareholders. The Sale is due to complete on 7 March 2011.

Information about the Sale were contained in the announcement released by Evolve on 10 February 2011 and the circular sent to shareholders of Evolve on 14 February 2011.
