The Board of Evolve Capital PLC ("Evolve") announces that the Board of Astaire 
Group PLC ("Astaire") has completed a strategic review and is contemplating the 
possibility a share subscription which (if it proceeded) would result in Astaire 
ceasing to be a subsidiary of Evolve. 
 
The full text of the announcement by Astaire is as follows:- 
"The Board of Astaire announces that it has completed a strategic review of the 
businesses since the Board restructuring implemented in June. The Board has 
concluded the following: 
 
1.   That the operating businesses have good potential given the right corporate 
environment; 
2.   That there is a considerable momentum to make a clean break from the 
current corporate structure. 
 
Accordingly, the Board is in discussions with a number of parties with a view to 
either achieving a change in majority ownership of the group, which would be 
likely to be achieved by way of a share subscription, potentially requiring a 
waiver of a possible obligation to make a mandatory offer (ie a "whitewash") and 
other regulatory consents or a change in majority ownership of the main 
operating businesses. 
 
It is emphasised that these discussions are at an early stage. The Board expects 
to update shareholders more fully in August."
