At the Evolve General Meeting today, and further to the Circular posted to 
shareholders on 28 August 2009 regarding the acquisition of the membership 
interests of Whim Gully Capital LLP, the resolution proposed was duly passed. 
 
 
The Company has also been advised that at the General Meeting of St Helen's 
Capital plc today, its shareholders approved the resolution for the disposal of 
the St Helen's Capital business to Whim Gully Capital LLP. 
 
 
The Company therefore announces that the acquisition of Whim Gully Capital LLP, 
incorporating the St Helen's Capital business, will now proceed to completion, 
the requisite shareholder approvals having now been received.
