Acquisition of Ruegg & Co Limited 
 
 
The board of Astaire Group Plc ("Astaire") announces that Astaire has acquired 
Ruegg & Co Limited ("Ruegg"). Ruegg is a niche corporate finance adviser 
focussed on AIM and PLUS corporate clients. It is authorised and regulated by 
the FSA and is currently authorised to act as a nominated adviser for AIM by the 
London Stock Exchange and as a PLUS corporate adviser by PLUS Markets Group. 
Ruegg is retained by 19 client companies of which 4 are listed on AIM and 12 are 
listed on PLUS Markets. 
 
 
In the year ended 31 December 2008, Ruegg generated profits before tax of 
GBP131,000 and had net assets, made up largely of investments and cash, 
amounting to GBP187,000. 
 
 
Consideration for the purchase of the entire issued share capital of Ruegg is 
GBP315,000 satisfied by the issue of 6,000,000 new ordinary shares credited as 
fully paid at 5.25 pence per share and a cash payment in respect of net assets 
in excess of GBP25,000 on completion. Such cash consideration is expected to be 
in the region of GBP334,000. Application will be made for the consideration 
shares to be admitted to trading on AIM and admission is expected to take place 
on 29 July 2009.
