Director Shareholding 
 
 
The Company was notified on 15 June 2009 that, Oliver Vaughan, Chairman of 
Evolve Capital, has entered into an agreement to receive 2,100,744 ordinary 
shares in Evolve Capital in lieu of his shareholding in Albany Capital PLC 
("Albany Capital"). The share exchange is proposed as part of proposals by 
Albany Capital for its reconstruction and voluntary winding up, which is subject 
to shareholder approval and if approved is expected to become effective on 29 
July 2009. At that time, Oliver Vaughan's shareholding in Evolve Capital would 
increase to 15,367,602 ordinary shares, representing approximately 9.14 per cent 
of the issued share capital of the Company.
