Eclipse VCT plc (the "Company")

Issue of Equity

Eclipse VCT plc announces that at a board meeting held on 7 February 2005,
391,506 ordinary shares of 10 pence each were issued and allotted to 24
subscribers at a price of 100 pence per share under the 2004/05 Offer for
Subscription. The current issued share capital of the Company is now 31,288,880
ordinary shares.

Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.

Eclipse VCT plc announces that the current offer is now closed. As at the
closing date 2,722 applications had been received for a total of 31,297,191
ordinary shares at 100 pence per share.
