   Issue of Equity 
 
   The Directors of Downing THREE VCT plc announce an allotment on 4 April 
2014  of H shares of 0.1p each ("H Shares") pursuant to the Offer for 
Subscription that opened on 18 December 2013 ("Offer") as follows: 
 
   4,992,938 H Shares at an average price of 104.8p 
 
   Included within the above, and the allotment on 18 March 2014, are 
allotments to Directors and PDMRs as follows:

to commence on or around 9 April 2014. 
 
   The 2013/2014 Offer has now closed.  The 2014/2015 Offer will close on 
30 April 2014 unless previously extended or fully subscribed at an 
earlier date.
