   Offers for Subscription (Correction) 
 
   The announcement released earlier today by the Company entitled "Offer 
for Subscription" incorrectly stated the closing dates for the Offers as 
2013.  It should have stated 2014.  The full corrected text of the 
announcement is as follows: 
 
   Downing THREE VCT plc (the "Company") announces that it has published a 
Prospectus (comprising a Securities Note, Registration Document and 
Summary) to raise up to GBP25 million net proceeds (the "Offers") 
through a new share class issue. 
 
   The Company has also published a circular (the "Circular") seeking 
shareholder approval for matters in connection with the Offers and 
giving notice for a General Meeting to be held on 11 February 2014. 
 
   The Offers opened on 18 December 2013 and are expected to close no later 
than 4 April 2014 in the case of the 2013/14 Offer and 30 April 2014 in 
the case of the 2014/15 Offer (unless previously extended). The Offers 
are for up to 25,000,000 H Shares in the Company.
