The Placing and Open Offer of Dean Corporation closed at 3.00p.m. on 12th
November, 1997.  6,801,656 of the new Ordinary Shares were placed firm with
Future Match Limited, a subsidiary of First Shanghai Investments Limited, an
investment company listed on the Hong Kong Stock Exchange.

Of the remaining 7,087,780 shares conditionally placed subject to recall by
qualifying shareholders under the Open Offer, 1,827,263 shares were subscribed
under the terms of the Open Offer, equivalent to 25.8 per cent. of the shares
available for recall.
