In  conformity with the Disclosure and Transparency Rule 5.6.1, Downing Absolute 
Income VCT 2 plc announces the following: 
The  Company's capital at 31 May  2010 consists of 19,563,646 Ordinary shares of 
0.1p each and 29,563,646 A shares 0.1p each (which are non-voting).  The Company 
does not hold any shares in treasury. 
 
Therefore,  the total number of voting rights  in Downing Absolute Income VCT 2 
plc is 19,563,646. 
The  above  figure  may  be  used  by  shareholders  as  the denominator for the 
calculations  by which they will determine if  they are required to notify their 
interest in, or a change to their interest in, Downing Absolute Income VCT 2 plc 
under the FSA's Disclosure and Transparency Rules.
