In  conformity  with  the  Transparency  Directive's  transitional provision 6, 
Downing Absolute Income VCT 2 plc announces the following: 
The Company's capital at 30 April 2010 consists of 18,662,171 Ordinary shares of 
0.1p each and 28,662,171 A shares 0.1p each (which are non-voting).  The Company 
does not hold any shares in treasury. 
 
Therefore the total number of voting rights in Downing Absolute Income VCT 2 plc 
is 18,662,171. 
The  above  figure  may  be  used  by  shareholders  as  the denominator for the 
calculations  by which they will determine if  they are required to notify their 
interest in, or a change to their interest in, Downing Absolute Income VCT 2 plc 
under the FSA's Disclosure and Transparency Rules.
