                      AGM Statement and Board Appointment


At the Company's AGM today, all resolutions proposed were duly passed.

At the AGM, Neil Johnson, Chairman of Cybit, made the following statement:

"I am pleased to report that the start to the current financial year has been
very encouraging. First quarter revenues are expected to be slightly over £1
million which is in line with market estimates. This is a substantial increase
over revenues of £623,000 achieved during the 15 month period to 31 March 2002
and reflects the successful integration of the Fleetstar business, which was
acquired at the end of February 2002.

During the second half of May, the Company started to sell the new
Fleetstar-Online product. This is an Internet based application service provider
(ASP) solution that has attracted much interest from both small to medium
enterprise (SME) and corporate clients. There are now six customers in live
operation with a number of others in the process of installation, the largest of
which is 100 units across a number of sites. It is encouraging to note that
during the six weeks since it's introduction, we have taken orders for
approximately 300 units and are building a healthy pipeline of prospective
customers. We plan to formally launch FleetStar-Online to the market during July
and expect this to increase future demand for the product.

Finally, I am delighted to announce that Cybit has signed a strategic
partnership agreement with Lex Vehicle Leasing under which the two companies
will work together to deliver advanced telematics and fleet management
capabilities to Lex customers. Lex Vehicle Leasing has more than 90,000 vehicles
in the UK and this agreement provides us with a substantial opportunity to
further develop our UK business. Details relating to the agreement have been
announced on the RNS this morning."

The Company is also pleased to announce that Kevin Lawrence has been appointed
to the Board as Finance Director and Company Secretary. Kevin Lawrence replaces
Robin Bligh, who has stepped down to pursue other business interests.

Kevin Lawrence joined Cybit Limited as Finance Director earlier this month. He
brings some 18 years senior finance experience with listed companies to Cybit.
In his new role he will be responsible for developing and delivering Cybit's
finance strategy, including managing the finance implications of Cybit's
aggressive programme of strategic partnerships, acquisitions and sales growth
and reporting the Company's performance to the Board.

Kevin Lawrence joins Cybit from Lighthouse Group plc, a provider of financial
services to the national network of Independent Financial Advisers (IFAs), where
he was Group Finance Director. Previously he was a Senior Manager at Grant
Thornton, where he managed a range of business advisory services such as mergers
and acquisitions, corporate finance and auditing, to UK listed companies. Before
that he held an account senior management role at PricewaterhouseCoopers where
he also provided business advisory services to a range of UK listed companies.
Kevin Lawrence is a chartered accountant and an ACA member.
