Non-Mainstream Pooled Investments

The Board notes the changes to the FCA rules relating to the restrictions on the retail distribution of unregulated collective investment schemes and close substitutes which came into effect on 1 January 2014.

Having taken legal advice, this confirms that the shares of CQS Diversified Fund Limited (the "Fund") will qualify as an 'excluded security' under these new rules and will therefore not be subject to the FCA's restrictions which apply to Non-Mainstream Pooled Investment products ("NMPIs").

The Fund currently conducts its affairs so that it would be eligible for approval as an investment trust were it to be resident in the United Kingdom and accordingly the shares issued by the Fund can be recommended by IFAs to ordinary retail investors in accordance with the FCA's rules in relation to NMPIs and the Fund intends to continue to do so for the foreseeable future.
