Application has been made for 1,316,144 ordinary shares of 5p each in the
Company ("Ordinary Shares") to be admitted to the Official List. 357,144
Ordinary Shares are being issued as part deferred consideration for the
acquisition of M&R Hydraulics Limited and 959,000 Ordinary Shares are being
issued pursuant to an exercise of share options. Admission is expected to
become effective on 26 February 2001.
