                                 AGM STATEMENT

At yesterday's Annual General Meeting ("AGM") of Croma, the AIM listed 
specialists in the design, development and production of overt and covert 
surveillance, security and defence related products, where all of the 
resolutions were duly passed, Chairman & CEO, John French, made the following 
comments:

"Before I begin addressing the formal part of today's meeting, I would like to
thank both shareholders and employees for their continued support and
assistance. It has been a highly active period for the Group.

Croma enjoyed a record order book, and conditional contracts have been exchanged
for the two acquisitions announced in December where, since then, constructive
progress has been made in terms of the due diligence. The Group is hopeful to
make a full and detailed announcement, on this matter, later this month.

The Group's Head Office has now relocated to Hereford, with the Croma Defence
operation incorporating Croma-Shawley, based in Risca, South Wales. Management
changes made at Croma Defence at the beginning of the first half are showing
benefits in terms of improved efficiency which, together with the enhanced order
book and recent contract wins, has given the Group a much improved performance
in terms of current trading.

Croma continues to provide innovative and quality solutions to meet escalating 
demand with their existing surveillance & counter surveillance products, systems
and services. The Group's growing, and current, portfolio includes innovative 
applications ranging from the King IPT 765, the first ever integrated wireless 
camera mount; WASP, a stand-alone wireless CCTV system for remote or temporary 
locations; through to solutions within the Group's R & D Design Services 
Ltd division, which has a leading reputation within the Avionics and Defence 
Industries, and also provides a range of proven airborne, maritime and 
ground-based surveillance solutions to many police, search & rescue, military 
and government organisations at home and abroad."
