                     ("CEDAR" OR THE "GROUP") ANNOUNCES
             ACQUISITION OF KNOWLEDGE MANAGEMENT PORTAL BUSINESS

Cedar announces that it has acquired part of the employees and technology
process platform of BG Technology ("BGT") providers of the technology behind
one of the world's most advanced corporate intranets. Total cash consideration
for the employees and Intellectual Property rights will be a maximum of #7m,
of which #2m is the initial consideration and #5m is deferred, subject to the
meeting of performance criteria. This will be financed from the Group's own
resources.

The team is renowned for its innovative yet highly practical solutions to
managing knowledge. Their work was awarded Corporate Intranet of the Year 1999
by Cranfield University.

This acquisition accelerates Cedar's strategic move into the emerging market
space of Content Value Management or CVM.

CVM tools and techniques enable organisations and individuals to maximise the
value of the content available to them by improving their ability to capture,
manipulate and disseminate data and information from all sources. The tools
include search and retrieval engines, text and image mining, knowledge
mapping, artificial intelligence and data visualisation techniques.

The acquisition complements the Group's proven expertise in managing
structured legacy data through this move into the area of unstructured data
image and text, such as news feeds, tacit knowledge and the Web.

The new CVM products will be delivered by Cedar through various business
models including direct channels, ASP and third parties. As part of this
strategy, the Group is in detailed discussions with several IT service
companies both in the UK and the US.

BGT - the technology arm of the former British Gas - and Cedar personnel have
developed the CVM suite of products out of the needs and complexities of
operating a sophisticated intra/extranet.  This experience has been gained
over the last four years in an organisation with over 20,000 users in 20
countries.

CVM works by encouraging staff in different teams and communities across
organisational, geographic and spatial boundaries to contribute information to
an intranet or extranet. This improves their ability to collaborate on the
realisation of new sources of value.

CVM is currently being deployed to address business issues as diverse as
Customer Relationship Management, M&A/post merger integration, investor
relations, competitive and business intelligence, and new product development.

Commenting on the acquisition, Mike Harrison, Cedar's Managing Director, said:

"Knowledge Management is about the systems and processes which enable an
organisation to maximise the value of what it knows. But it has confused many
organisations and as a result has failed to deliver most of its promised
benefits. Content Value Management goes several steps beyond traditional
knowledge management, spotting the relevant connections between all the
structured and unstructured information that a company can access and
indicating the opportunities this offers in terms of their value."

He added: "This move into the world of managing large amounts of unstructured
data, from both internal and external sources marks a significant expansion in
our capabilities as a Group."
