Listing Application

The Company has applied for the admission to the Official
List of the London Stock Exchange for 406,861 Ordinary
Shares of 5p each pursuant to the conversion of #916,262
convertible loan notes issued on the purchase of Qualtech
Limited on 23 October 1998.

These shares will rank pari passu with the existing
issued ordinary share capital of the company and dealings
are expected to commence on 14 April 2000.
