Cedar Group Plc (the "Company")

Application for Listing granted for 2,900,000 new
ordinary shares

The Company has applied for the admission to the Official
List of the London Stock Exchange for 2,900,000 new
ordinary shares ("New Ordinary Shares") of 5p each which
were issued in respect of the Placing announced by the
Company on 15 March 2000, and approval for which was
granted at the EGM held on 7 April 2000.  Admission has
been granted and dealings in the New Ordinary Shares are
expected to commence later today.

The New Ordinary Shares rank parri passu in all respects
with the Company's existing ordinary shares of 5p each.
