CEDAR GROUP PLC ("CEDAR" OR "THE COMPANY")
RESULT OF EXTRAORDINARY GENERAL MEETING

At the Extraordinary General Meeting of Cedar held
earlier today, shareholders passed the special resolution
authorising the directors to allot equity securities in
connection with the placing of 2,900,000 new ordinary
shares of 5p each in the Company, which was announced on
15 March 2000.  The placing will raise #40.2 million (net
of expenses).
