On December 3 1999 the Company issued an additional 60,000 10p ordinary shares
(0.24% of its issued class) to its wholly owned subsidiary CAT Group Employees
Trustees Ltd the Corporate trustee of an IR approved Staff Share Scheme. The
Trustee will hold the shares for the benefit of the staff pursuant to the terms
of the scheme. The trustee's directors are John Aston Peter Garland and Sir
Aaron Klug all of whom are directors of the Company. A separate announcement has
been made today regarding the holding of executive directors as a result of the
operation of the Scheme.
