               Central African Gold Plc ("CAG" or the "Company")

                         Change in Directors' Interests


The Company, subject to admission to trading on AIM, issued 8,000,496 new
ordinary shares of 0.5p each ("Ordinary Shares") on 13 November 2007 pursuant to
the exercise of 40,002,484 options and listed warrants. 10,000,000 listed
warrants and 5,000,000 options were exercised by Roy Pitchford, a director of
the Company. Under the terms of the listed warrants and options exercised by Mr
Pitchford, every five warrants or options held entitled him to subscribe for one
Ordinary Share at 5p per share. Accordingly, Mr Pitchford will receive 3,000,000
Ordinary Shares.

In accordance with the FSA's Disclosure and Transparency Rules, the Company
would like to notify the market that the aforementioned director's interest in
the issued share capital of the Company is as follows:

Application will be made for the new Ordinary Shares to be admitted to trading
on AIM. Admission is expected to become effective on 19 November 2007. The new
Ordinary Shares will, on admission to trading on AIM, be credited as fully paid
and rank pari passu in all respects with the existing issued Ordinary Shares.

Following admission of the new Ordinary Shares to trading on AIM, the enlarged
share capital will comprise 106,079,962 Ordinary Shares. This figure may be used
by shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to their
interest in, CAG, under the Disclosure and Transparency Rules.

Following admission the Company will have 17,619,950 warrants to subscribe for
Ordinary Shares in issue, every five of which entitle the holder to subscribe
for one Ordinary Share.
