Central African Gold announces that, as at the date of this announcement, it has
a single class of share in issue being ordinary shares of 0.5 pence each ("
Ordinary Shares") and that there are 96,903,953 Ordinary Shares in issue.  Each
Ordinary Share entitles the holder to a single vote at general meetings of the
Company.



In addition the Company has 57,500,000 warrants to subscribe for Ordinary Shares
in issue.
