MERGER OF BTR plc ("BTR") AND SIEBE plc ("SIEBE") TO CREATE
BTR SIEBE

HIGH COURT HEARING

BTR announces that the High Court hearing of the petition to
sanction the Scheme of Arrangement to effect the Merger which
commenced yesterday afternoon was adjourned and will resume
this afternoon.

As indicated in the BTR circular to shareholders dated 21
December 1998, the timetable is dependent on the date upon
which the High Court sanctions the Scheme.  Accordingly, the
last day of dealings in BTR ordinary shares will not be today,
Tuesday, 2 February 1999.  Dealings in the new BTR Siebe
shares will not, therefore, commence tomorrow, Wednesday, 3
February 1999.

A further announcement will be made upon the conclusion of the
High Court hearing.
