Brammer plc ("Brammer" or the "Company")
Application for Admission
Brammer announces that, in order to satisfy the exercise of
share options granted pursuant to the Brammer Performance Share
Plan 2012 and the Brammer Share Matching Plan 2005 and exercised in
accordance with the offer made by AI Robin Limited in connection
with the scheme of arrangement as set out in the scheme document
dated 12 December 2016, on 2 February 2017 the Company issued and
allotted 5,025,875 ordinary shares of 20 pence each (the "Ordinary
Shares").
An application has been made for the 5,025,875 new Ordinary
Shares to be admitted to the Official List of the UKLA and to
trading on the London Stock Exchange's main market for listed
securities ("Admission"). Admission is expected to take place on 3
February 2017.
Subsequent to this allotment, the total number of Ordinary
Shares of the Company in issue as at the date of this announcement
is 134,430,356 with each Ordinary Share carrying the right to one
vote. There are no Ordinary Shares held in treasury. The total
number of voting rights in the Company is therefore
134,430,356.
The above figure may be used by shareholders as the denominator
for the calculations by which they determine if they are required
to notify their interest in, or a change to their interest in
Brammer under the Disclosure and Transparency Rules.
