This document replaces the announcement which was released on 25 January 2008 at
10.09 am under RNS number 5448M.  The previous document quoted incorrectly the
number of equity shares purchased under the tender offer.

The revised announcement is below.

Bear Stearns Private Equity Limited (the "Company") announces that it has
accepted in full the following shares tendered to it at the applicable Net Asset
Value per share as at 31 December 2007:

25,025,860 equity shares at a price of USD$1.70 per share.

274,822 zero dividend preference shares at a price of 49.54 pence per share.

The date of the purchase will be 29 January 2008. Cheques will be despatched /
CREST accounts will be credited on 29 January 2008 in respect of the shares
tendered.

The shares tendered will be held as treasury shares.  As a result of this tender
offer, the Company holds 25,025,860 equity shares and 274,822 zero dividend
preference shares in treasury. Immediately following the tender offer the
Company's issued share capital will consist of  260,272,496 shares of 0.01p
(excluding treasury shares) each classified as equity shares, and 59,196,837
shares of 0.01p (excluding treasury shares) each classified as zero dividend
preference shares.

Therefore the total number of voting rights in the Company is 260,272,496 for
the equity share class and 59,196,837 for the zero dividend preference share
class. These figures may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, the Company under the FSA's
Disclosure and Transparency rules.
