                    RESULT OF EXTRAORDINARY GENERAL MEETING


The Board of Blueheath is pleased to confirm that all of the resolutions
required to approve the Placing were passed at today's Extraordinary General
Meeting of the Company, held today at 45 Moorfields London EC2Y 9AE. The
26,250,000 new ordinary shares of 1 pence each are expected to be admitted to
trading on 26 June 2006.
