Circular to Shareholders and Notice of General Meeting
 
The Company announces that it has posted to shareholders copies of a Circular outlining proposed changes to the Company's Articles of
Association together with a Notice of General Meeting of the Company to be held on 25 September 2008 and a form of proxy for use in relation
to the General Meeting ("GM").
 
A resolution will be proposed at the GM to amend the Company's current articles of association to reflect the introduction of provisions of
the Companies Act 2006 relating to the management of directors' conflicts of interest and to take the opportunity to update references to
company and securities legislation. Further details relating to the proposed amendments to the articles of association are included within
the Circular.
 
A copy of the proposed articles of association of the Company are available on request at the Company's registered office at Paternoster
House, 65 St Paul's Churchyard, London EC4M 8AB and at the offices of Travers Smith LLP, 10 Snow Hill, London EC1A 2AL and will be available
for inspection at least 15 minutes before, and at, the GM.
 
The Circular, Notice of GM and form of proxy for use at the GM have been submitted to the UKLA Document Viewing Facility and will shortly be
available for inspection at:
