At the Annual General Meeting of the Company on 10 October 2001, all the
Resolutions proposed at that meeting were passed including Resolution Number 6
approving the waiver by the Panel on Takeovers and Mergers of the obligation
which might otherwise arise to make a general offer pursuant to Rule 9 of the
City Code on Takeovers and Mergers as a result of the purchase by the Company
of up to 1,801,500 ordinary shares of 25p each of the Company (representing
14.99% of the ordinary share capital of the Company).
