SECTION 198 DISCLOSURES

Following the offer made on behalf of MSDW Investment Holdings Limited for the
issued and to be issued share capital of Acorn Group Plc being declared
unconditional, I have been appointed as Company Secretary to Acorn Group Plc and
have today received notice pursuant to Section 198 of the Companies Act 1985 to
the following effect:

1)  MSDW Investment Holdings Limited, MSDW Investment Holdings (US) Inc., and
    MSDW Investment Holdings (UK) Limited are each interested in 84,937,753 of
    the ordinary shares of 10 pence each of Acorn Group Plc and each other
    member of the Morgan Stanley Dean Witter Group of companies which is the
    direct and or indirect holding company of any of them are interested in
    those shares by attribution; and

2)  Warburg Dillon Read, the Investment Banking Division of UBS AG London branch
    no longer has any interest in the ordinary shares of Acorn Group Plc.
