Notice of Substitution of the Issuer of the EUR300,000,000 2.25 per cent. Guaranteed Notes due 2012 (ISIN: XS0497111079) (the "Notes"), originally issued by Sara Lee/DE Antilles N.V (SLA).

Pursuant to Condition 11 (c) of the Notes, which permits an Issuer substitution to be made without the consent of the Note holder, with effect on and from 15 June 2011:

A. Sara Lee/DE Global Finance B.V. will be substituted in place of SLA as the Issuer and principal debtor in respect of the Notes;

B. the Notes will have the benefit of a guarantee from SLC, which is in all material respects identical to the guarantee given by SLC in relation to the Notes prior to 15 June 2011; and

C. the Principal Paying Agent for the above issue is The Bank of New York Mellon, One Canada Square, London E14 5AL
