Series I/2006 EUR 500,000,000 Step-Up Fixed/Floating Rate Non-Cumulative 
Perpetual Preferred Securities (ISIN: XS0267456084; Common Code: 026745608) (the 
"Preferred Securities") of Banco de Sabadell, S.A. (the "Company") 
 
 
Pursuant to the terms of the Tender Offer and Consent Solicitation Memorandum 
dated 24 March 2009 (the "Tender Offer and Consent Solicitation Memorandum"), 
the Company hereby confirms that the conditions precedent to settlement of the 
Offer have been satisfied and that, as a result, the Offer has become 
unconditional. 
 
 
The Settlement Date shall be Tuesday, 5 May 2009. 
 
 
On the Settlement Date, the Company will proceed to repurchase such of the 
Preferred Securities as have been validly tendered prior to the Expiration Date 
(as evidenced by the records of Euroclear and Clearstream, Luxembourg). Holders 
of Preferred Securities who tendered their Preferred Securities at or before the 
Early Submission Deadline will receive a Total Holder Consideration comprised of 
the Early Submission Price plus an amount equal to Accrued Distributions as 
calculated by the Dealer Manager. Holders of Preferred Securities who tendered 
their Preferred Securities after the Early Submission Deadline will receive a 
Total Holder Consideration comprised of the Tender Price plus an amount equal to 
Accrued Distributions, calculated as aforesaid. Capitalised terms used in this 
notice have the meanings given to them in the Tender Offer and Consent 
Solicitation Memorandum.
