It is announced that six Directors have today acquired ordinary shares of #1
each under the Company's Restricted Share Scheme.  The shares were
provisionally awarded on 7 June 1996 with an award period of 3 years with the
vesting of the provisional awards depending on the fulfilment of performance
criteria relating to EPS, water quality and customer service standards.  These
performance criteria having been met, the Trustees of the Scheme have allowed
the shares to vest.

A total of 4,450 ordinary shares have vested with 52 participants receiving
between 50 and 200 shares each.  The shares were previously held in the South
Staffordshire Water Employee Trust and thus that Trust has today disposed of
4,450 ordinary shares (it now holds 8,896 ordinary shares, 0.15% of the shares
of that class).

The shares were acquired for no consideration but are subject to income tax
and NI.

The details of acquisitions by Directors are as follows:

Mr A P Page acquired 100 shares.  He now owns 100 ordinary shares (0.001% of
the shares of that class).

Mr J A Bishop acquired 200 shares and sold 81 at a price of #39.10.  He now
owns 205 ordinary shares (0.003% of the shares of that class).

Mr M P Bowen acquired 200 shares.  He now owns 1,080 ordinary shares (0.02% of
the shares of that class).

Dr P A Capener acquired 200 shares.  He now owns 1,886 ordinary shares (0.03%
of the shares of that class).

Mr J Carnell acquired 100 shares.  He now owns 453 ordinary shares (0.007% of
the shares of that class).

Dr E A Swarbrick acquired 200 shares.  She now owns 1,366 ordinary shares
(0.02%) of the shares of that class).

Mr Page is Finance Director of both South Staffordshire Water Holdings PLC and
South Staffordshire Water PLC.  The others are Directors of South
Staffordshire Water PLC.
