ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On May 1, 2009, we entered into a consulting agreement with Gary Madonna wherein Gary Madonna has agreed to provide certain consulting services to our company. As compensation under the agreement, we have agreed to issue 100,000 restricted common shares of our company. The agreement expires on September 30, 2009.

On June 1, 2009, we entered into a consulting agreement with David Karpa wherein David Karpa has agreed to provide certain consulting services to our company. As compensation under the agreement, we have agreed to issue 50,000 restricted common shares of our company. The agreement expires on November 30, 2009.

ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES

Effective June 1, 2009, we issued 150,000 restricted shares of our common stock to two (2) U.S. persons (as that term is defined in Regulation S of the Securities Act of 1933) relying upon Rule 506 of Regulation D of the Securities Act of 1933.
