(1)  The stock option was granted under the issuer's 2019 Stock Incentive Plan in connection with the reporting person's appointment as Executive Vice Chairman of the Board of Directors of the issuer.
(2)  The options are exercisable at the following strike prices: (i) 100,000 shares at $1.45 per share; (ii) 100,000 shares at $2.45 per share; and (iii) 100,000 shares at $3.45 per share.
(3)  The options are exercisable in equal annual installments over a five-year period, with the first installment being exercisable on August 12, 2020.
