Item 1.01. Entry into a Material Definitive Agreement.
On October 20, 2010, Nextmart, Inc. (the Company) entered into a subscription agreement (the Subscription Agreement) with Miss Cui Yulian (the Buyer) under which the Company agreed to issue to the Buyer 53,651,553 shares of its common stock at a price of $0.01 per share or a total of $536,515.63. After giving effect to the transaction, Buyer will own 16.67% of the total issued and outstanding shares of the Company. Buyer will pay the cash consideration in US Dollars or equivalent amount in Chinese Yuan (Chinese RMB), as determined by the Peoples Bank of China foreign currency exchange rate on the payment date. The consideration shall be paid to the Company within 10 days from the date of the Subscription Agreement.
