The Company has not been able to compile the requisite financial data and other narrative information necessary to enable it to have sufficient time to complete its report on Form 10-Q for the fiscal quarter ended March 31, 2008 by May 15, 2008, the required filing date, without unreasonable effort and expense.

Management anticipates that the Company will report a net loss of approximately $10,000 for the fiscal quarter ended March 31, 2008 as compared to a net loss of approximately $330,000 for the fiscal quarter ended March 31, 2007, a decrease of $320,000. Management believes that the decrease in the loss is primarily the result of temporary scaling back of operations of the BioBalance segment, resulting in an overall decrease in costs of approximately $450,000 offset by a decrease in the net income of the health care segment of approximately $130,000. Management believes that the decrease in the net income of the health care segment was the result of a decrease in revenues of approximately $160,000 offset by overall decreases in costs of approximately $30,000.
