Sales of Equity Securities.

On
April 28, 2020 Brownie’s Marine Group, Inc. awarded two of its employees an aggregate of 1,333,333 shares of its common
stock as additional compensation for their services to the Company pursuant to the terms of a Restricted Stock Award Agreement.
The recipients were sophisticated investors who had access to business and financial information on our company, and the issuances
were exempt from registration under the Securities Act of 1933, as amended, in reliance on exemptions provided by Section 4(a)(2)
of that act.
The
terms and conditions of the Restricted Stock Award Agreements are qualified in their entirety by reference to the form of agreement
which is filed as Exhibit 10.1 to this report and incorporated herein by such reference.
