Item 8.01 Other Events.

On May 24, 2021, BBX Capital, Inc. issued a press release announcing that it intends to commence, within five business days, a cash tender offer to purchase up to 4,000,000 shares of its Class A Common Stock at a purchase price of $6.75 per share. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
