ITEM 5.02 Resignation of an Officer

On March 8, 2017, Danielle Baker resigned as the Principal Accounting Officer of Axion Power International, Inc. (the “Company”). Richard Bogan, the Company’s Chief Executive Officer and Chairman, will act as the Chief Financial Officer on an interim basis.
