Item 5.02 Departure of Directors or Principal Officers, Election of Directors; Appointment of Principal Officers

On September 19, 2007, Alan Gaines resigned as Chief Executive Officer of ABC Funding, Inc. (the "Company"). Mr. Gaines will remain in his position as Chairman of the Company. The Board of Directors has, as of September 19, 2007, appointed Mr. Steven Barrenechea, currently a member of the Board of Directors of the Company, as Chief Executive Officer of the Company.

In consideration for his past and continued service to the Company, the Company will issue 150,000 shares of common stock to Mr. Barrenechea.
