VANCOUVER, Feb. 12, 2018 /CNW/ - RockBridge Resources
Inc. ("RockBridge" or the "Company" – TSXV symbol: RBE) is pleased
to provide an update to its proposed reorganization and merger with
1100556 B.C. Ltd., which has a
subsidiary, Marigold Ventures Inc. (collectively "Marigold").
Marigold, after some unexpected delays, now has a signed
contract to acquire a 20 plus acre parcel of land in the Okanagan
region of B.C., subject to certain conditions, and has completed
and filed its application with Health Canada to become a licenced
producer of medical marijuana pursuant to the Access to Cannabis
for Medicinal Purposes Regulations ("ACMPR"). Health Canada
has now finalized its intake assessment for completeness of the
application and has assigned an application number.
Once Marigold has confirmation that its ACMPR application has
reached the detailed review stage with Health Canada, it is planned
to submit the application for listing the shares of the amalgamated
corporation (to be known as "Marigold Investments" or similar name)
on the Canadian Securities Exchange ("CSE"), and on CSE conditional
approval to then complete the merger.
The merger and listing on the CSE are targeted for completion in
April 2018, however they remain
subject to the required Health Canada confirmation, CSE approval
and other conditions. RockBridge has already obtained shareholder
approval to the proposed transactions.
